Terms and conditions
This is a translation for information only. Only the German version of these terms is binding.
Last updated: 22 October 2026
§ 1 Scope and provider
(1) These General Terms and Conditions (terms) apply to all contracts for the use of Spotstar between Spotstar, owner Luca-Matheo Rohrbach, Mainluststraße 17, 60329 Frankfurt am Main, Germany ("Spotstar" or "we"), and the customer.
(2) Spotstar is offered exclusively to businesses within the meaning of § 14 BGB (German Civil Code), that is, persons acting in the exercise of their commercial or independent professional activity when concluding the contract. Consumers cannot conclude a contract. By signing up, the customer confirms that they are acting as a business.
(3) Deviating terms of the customer only apply if we expressly agree to them in text form.
(4) The data processing agreement under Art. 28 GDPR (DPA) is part of these terms. It is available at getspotstar.com/en/avv. In matters of data protection, the DPA prevails in case of conflict.
§ 2 Conclusion of the contract
(1) The presentation of Spotstar on the website is not a binding offer. The customer signs up with their email address and confirms that they are acting as a business. They then receive an email with a confirmation link; confirming it creates their customer account.
(2) The customer makes an offer to conclude the contract by agreeing to these terms and the DPA, either in the sign-up form or in the customer account. The contract is concluded once we have activated the customer account and the customer has agreed. The customer then provides a payment method under § 7(2).
(3) Before the official launch of Spotstar, a new customer account is first placed on a waitlist. As long as we have not activated it and the customer has not agreed, there is no contract, no costs arise, and Spotstar provides no services. There is no entitlement to activation. The customer can delete their account in the settings at any time.
(4) If Spotstar advises the customer in person, the contract is concluded in the same way: the customer signs up themselves with their email address and agrees to these terms and the DPA themselves.
(5) We do not store the contract text separately for the customer. The current terms are available on the website; we send the version valid at conclusion on request.
§ 3 Spotstar's services
(1) Spotstar comprises:
- an individually designed NFC card that takes the customer's customers to the business's Google review page (§ 6);
- a dashboard showing the number of card taps;
- once the Google Business Profile is connected (§ 4): fetching reviews, drafting and publishing replies to reviews, an analysis of the reviews by theme, and looking after the profile through suggestions for profile details and posts, which are only sent to Google after the customer approves them.
(2) The functions under paragraph 1 no. 3 use Google interfaces. They are only available to the extent that Google provides these interfaces to Spotstar. If Google changes or restricts them, the scope of these functions may change accordingly.
(3) Spotstar works towards businesses receiving more reviews and being found more easily on Google. We do not owe any particular result. In particular, we do not promise a number of reviews, a particular star rating or a ranking in Google Search, Google Maps or AI assistants. That is decided by Google alone.
(4) The free review report on the website is not part of this contract.
§ 4 Google Business Profile
(1) The Google Business Profile is a Google service and free of charge from Google. The fee under § 7 is paid solely for Spotstar's services, not for the profile itself. Spotstar is an independent provider and is not affiliated with Google.
(2) The customer remains the owner of their Business Profile. They connect it themselves by signing in with their Google account and granting Spotstar access. Spotstar does not receive a Google password and does not become owner or manager of the profile. The customer can disconnect at any time in the dashboard or revoke access in their Google account.
(3) Spotstar only changes details in the profile (for example description, phone number, website, opening hours) and only publishes posts once a user of the customer account has approved that individual suggestion in the dashboard. This approval is the customer's express consent to exactly that change. There is no automatic publishing of profile changes or posts.
(4) For replies to reviews, the customer sets in the dashboard which replies appear immediately and which only after their approval. This setting is their express consent to publish replies to the chosen extent without further approval. They can change it at any time. By default, replies to critical reviews only appear after approval.
(5) After every approved profile change and every post, we notify the users of the customer account by email. Every change can be viewed in the dashboard with its approval, time and Google's response.
(6) Google reviews changes and posts and may display them with a delay, change or reject them. Spotstar has no influence on this.
§ 5 Customer obligations
(1) The customer
- only connects a Business Profile that they are entitled to manage;
- checks suggestions, drafts and AI-written texts for accuracy before approving them (§ 10);
- keeps their login details secret and only gives accounts to people who may act on their behalf;
- complies with Google's policies for Business Profiles, reviews and posts;
- does not use the card to buy, reward or dictate reviews or to ask only satisfied customers for a review, and does not post reviews for their own business.
(2) Approvals and settings made through an account of the customer count as declarations of the customer. This also applies to employee accounts. The customer is responsible for whom they give access.
(3) If the customer breaches these obligations and a third party, such as Google, therefore makes a claim against Spotstar, the customer indemnifies Spotstar against such claims to the extent the customer is responsible for the breach.
§ 6 NFC card
(1) We design the card in the business's style and send it to the address given by the customer. We state the expected delivery time when the contract is concluded. It is not binding unless we have expressly promised a date.
(2) Ownership of the card passes to the customer on delivery. The card contains a Spotstar address. The redirect from there to the Google review page is part of the subscription and ends with the contract. Without an active subscription, the card no longer leads to the review page.
(3) If a card is lost or damaged, the customer receives up to two replacement cards per contract year at no extra charge. We supply further replacement cards against reimbursement of the costs, which we state in advance.
§ 7 Prices and payment
(1) Spotstar costs €49 a month. No VAT is charged (small business, § 19 UStG). The card design and setup are included.
(2) The payment obligation begins when the contract is concluded. The fee is payable monthly in advance, for one billing month at a time, counted from the start of the contract. The customer pays through the payment provider Stripe by credit card or SEPA direct debit. The customer provides the payment method directly to Stripe; Spotstar receives no card or account details. The customer receives the invoice by email. In individual cases we may agree in text form on payment by bank transfer against invoice.
(3) If a payment fails, we send the customer a reminder. If payment is still not made, we may block access to Spotstar and the card's redirect until payment is made. The customer bears the costs of a returned direct debit for which they are responsible.
(4) We may announce and change the price with six weeks' notice. The announcement is made in text form and states the new price and the date. The customer can terminate the contract up to that date; we point this out in the announcement.
§ 8 Term and termination
(1) The contract runs for an indefinite period. There is no minimum term and no setup fee.
(2) Either party can terminate the contract at any time. It ends at the end of the current billing month. Termination is possible in text form, for example by email to info@getspotstar.com, or by deleting the account in the dashboard. If terminated in text form, access remains until the contract ends. If the customer deletes their account, use ends immediately; the fee for the current billing month is not refunded.
(3) The right to terminate for good cause remains unaffected. Good cause for us exists in particular if the customer is in arrears with two monthly payments or uses the card contrary to § 5(1) no. 5 despite a warning.
(4) When the contract ends, we disconnect the Google Business Profile, revoke access at Google and delete the data in accordance with the DPA and the privacy policy. What was published on Google (replies, profile details, posts) remains there; the customer can change or remove it on Google themselves.
§ 9 Availability and further development
(1) We strive for high availability of Spotstar. We do not promise any particular availability. Where possible, we carry out maintenance at times of low usage.
(2) We are not responsible for outages at Google or other services we do not control. The card's redirect to the Google review page also depends on that page being reachable at Google.
(3) We develop Spotstar further. We may change functions as long as the agreed core of the service (§ 3(1)) is preserved and the change is reasonable for the customer.
§ 10 AI-generated texts
(1) Spotstar uses an AI service to draft replies, profile descriptions and posts and to analyse reviews. These texts may contain errors.
(2) The customer checks every draft before approving it. By approving, they adopt the text as their own. If the customer has chosen immediate publishing for replies (§ 4(4)), this also applies to those replies.
§ 11 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent we have given a guarantee.
(2) In cases of slight negligence, we are only liable if we breach an essential contractual obligation. This is an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the customer may regularly rely. In this case, liability is limited to the typical, foreseeable damage.
(3) Strict liability for defects that already existed when the contract was concluded (§ 536a(1) BGB) is excluded.
(4) Otherwise, liability is excluded. In particular, we are not liable for decisions by Google, such as rejecting a change or post, suspending a profile or ranking in search, unless we are responsible for them under paragraph 1 or 2.
(5) These rules also apply to our vicarious agents and legal representatives.
§ 12 Data protection
(1) Where Spotstar processes personal data on behalf of the customer, in particular reviews and the details in the Business Profile, the DPA applies (§ 1(4)).
(2) How we process data for which we are responsible ourselves, such as customer account data, is set out in our privacy policy.
§ 13 Changes to these terms
(1) We may change these terms if there is an objective reason, such as a change in the law, in Google's conditions or new functions. The main services (§ 3(1)) and the price do not change in this way; § 7(4) applies to the price.
(2) We announce changes in text form at least six weeks before they take effect. If the customer does not object by the time they take effect, the changes are deemed accepted. We point out this consequence, the deadline and the right to object in the announcement. If the customer objects, either party may terminate the contract with effect from the date the changes take effect.
§ 14 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Frankfurt am Main. We may also sue the customer at their registered office.
(3) The contract language is German. Translations are for information only; the German version is binding.
(4) If a provision of these terms is invalid, the rest of the contract remains valid. The statutory provisions take the place of the invalid provision (§ 306 BGB).
